The question is about the NDA where the counterpart is not only the hiring company, but also all the affiliates (>100 organizations), agents, ....etc. Is this valid? Furthermore, the person who signed the NDA is from the hiring company, who definitely has not authority to represent all the affiliates and agents. Will that void this contract or limit it only to the hiring company?

"This NDA is made and entered into by and between xxx, an individual, and the hiring company, its affiliates, and their respective officers, directors, employees, agents, representatives, heirs, successors, assigns (hereinafter collectively referred to as XXX)"

you are going to have to take the whole NDA to a local attorney in your state to see whether it would be valid under a claim. It could be that the affilates are required to sign a corporate or franchise policy regarding NDAs of employees of other affiliates or vendors, etc.

Hi, Thank you for the reply. I checked the NDA again. In the end signature page, it says:

This agreement was understood and agreed by the duly authorized representatives of the Parties:
XXX hiring company, XXX individual

So this agreement is only agreed and signed by two parties between the individual and the hiring company.

If you have concerns with an NDA, you should HIRE an attorney.

Free information could end up costing you thousands of dollars.

Don't be Pound wise and Penny foolish.

There is a clause in NDA "This agreement shall not be assigned by either party without the prior written agreement of the other party"

If the company was acquired by another company, does it mean that NDA is void?
