Hi there,

Basically we are a small business with 3 directors we need any two to sign a cheque or make a decision. An advertising company called us and spoke to one director the guy on the phone said i just need you to accept this, he foolishly did accept it, they are now chasing us for money.

Is there claim valid even though he told them we need at least 2 directors to make a financial decision?

Maybe. It depends on what ostensible authority the director had, i.e. how the company held him out. In addition to director, does he have any other position in the company? Him saying that he didn't have authority is a pretty good indication he didn't. On the other hand, he apparently changed his mind about that.
