What constitutes a client?

I have a non-compete/non-solicitation with a former employer of mine. It states I cannot sell products or services to their clients for two years after my departure. It's currently been a little less than one year.

My question is, what constitutes a client? My former employer does carry annual service contracts with some of their customers. Are those the only customers this applies to? Or does the non-compete refer to any business that has ever done business with my former employer, as a client?

What if one business bought something from my former employer 10 years ago, never worked with them again, and I tried to sell something to them now, during the term of my non-compete. Would I be in violation?

Tough question to answer, I know.

We cannot interpret the terms of an agreement we have not read. You will have to have an attorney in your state define a "client" under the agreement and tell you what you can and cannot do without being in violation.
