I am a partner in a MA LLC, and was previously an employee. I left voluntarily and offered to become a consultant to the Company. The Company accepted, and I have provided consulting services steadilly since leaving the company. Now my partners want to label me an "uninvolved member" for the purposes of buying back 80% of my equity for $0. Buying back 100% of an univolved member's equity is allowed in our Operating Agreement. However, a member who separates his employment and becomes a consultant to the Company is an allowed exception to the uninvolved member definition. I'm looking for some advice on fighting them from taking my member interest?
