WHat is the right way to transfer funds and assets from an S-Corp. to a new LLC? I am dissolving the out of state S-Corp and moving it to an LLC in SC.

The CORRECT way to accomplish this by retaining an attorney to ensure its done properly.
I suggest you speak with a lawyer.
Why?
Its your business, and if you make mistakes, it could cost you more than what an attorney might charge.
What you want to achieve, if done incorrectly can cost you fines and penalties.
