Corporate Law How to protect my equity interests and dividend/profits.

I wish to seek legal advice on two areas:-

1. Shareholders Agreement (equity shares)

The above are new venture that i am getting into:-

Basic Overview:-

We are planning to setup an offshore company (holding) company in Seychelles which i will be offered with 25% equity shares with non dilution of shares clause + monthly salary.

Since this is a private company, the % equity shares might not worth anything at all... How can i make sure that i will be shared on the profits.
