Need help with profit sharing arrangements.
Startup company looking for a way to share profits and losses with manager, who has limited capital.
Need help with the special allocation rules.
Idea is to have manager sign promissory note to buy into an equity position.
Another possibility is to unevenly split profits for an agreed upon duration of time.
