Consumer Law, Warranties Agreement to perform services by telephone

A man in New York City hired me and my mom to do some work for him in return for some money and a percentage of the business. She lives in NYC and I live in Austin, TX. Originally he offered 33% of the business, but later he said he consulted with his financial advisor adjusted the amount to 12%. He had me ask my mom if this was amenable. I did and she agreed to the offer. The agreement was that I would have the work finished by some time in December. Last week he said that after discussing it with his partner that the relationship wouldn't work and it was severed.

My question is this: Is he beholden to me and my mom for the agreement made by phone? He did offer terms to be agreed upon and we accepted. I was never given the opportunity to uphold my end of the contract, so is he liable for breech?
 
Technically yes but no real consideration passed so there really is not a contract. Sorry.
