There are three of us in the llc, we have no operating agreement. We own a retail store, and this member has fallen in the responsibilities and then she quit and is suing the 2 remaining members for her inititial investment back, attorney fees, and a bunch of other stuff. We all have a lease of which we personaly guaranteed. Which she would still be responsible for. It seems she has more power than the 2 of us remaining. What rights do the 2 remaining members have as we are still opening the doors, working long hours, and trying to pay the bills. Do we have any kind of majority vote in this mess? This person wants to not work and get paid. We need some good llc legal advice. Please help! Thank you.
