Corporate Law LLC Member Removal Help

I started an LLC a few months back with 2 other people.
The company went under and now we are wondering what to do.

At the very least, they are freely willing to sign over their parts of the LLC to me. The other option is to close the LLC completely.

How would I go about doing these?
and what is really the best option?
Or is all that is needed is a piece of paper that reads "I hereby forfeit and give my 25% ownership of the company to XXXXXX" and we both sign it??


(The reason they are signing it freely over to me is because i was the only financial backer in this company, they were just free loaders. They each own 25% of the company.)

Also i have heard something about my tax return will be greater because i had a company and it failed. If this is true, is there an option so i dont miss out on this??
 
You can purchase their memberships in the LLC and file a notice of their disassociation with the secretary of state. You would normally have a deduction against taxes for a failed business.
