Could somebody explain what are the differences between the following paragraphs on a commercial lease:

"This agreement cannot be assigned by Tenant. This agreement shall inure to the benefit of the successors and assigns of the Landlord"


"This agreement shall inure to the benefit of the parties hereto and their
respective heirs, personal representatives, successors and (except as otherwise provided on the lease) assigns"

Clause 1: Tenant may not assign, landlord may.

Clause 2: Lease inures to benefit of both parties' assigns. Presumably, both parties may assign.

If you're the tenant, and you conceive that you may want to assign the lease at some point, get clause 2.
