Hello,

I created a software template and own complete rights to it. A person contacted me to see if I would grant her the right to use my template to create a template for a niche market. For granting that right, she would sell me her product at a reduced rate and give my product credit in all her marketing. We signed this agreement granting her the use of my product in June of 2008. Since then she has done nothing. I want to rescind my offer to her to use my product to create a new product. (My product has the normal disclaimer regarding copyright.) There was nothing in the agreement stating that she had to have the product done by a certain date. Is this going to be a problem? Can I just write her and say since it has been so long that she no longer has rights to use my product to create a new one?

Thank you for your assistance.

Ellen
