Consumer Law, Warranties Wanted refund on equip. deposit-now company threatening to sue me

Hello!

Almost a year ago, I put down a $500 deposit on a piece of 13K beauty equipment. In the sales agreement notes, the rep had written that the deposit is refundable if I couldn't get financing for the balance. Since then, I sold my business (an S-corp) in a corporate stock sale. I then contacted them to get my deposit back, and they refused, saying I could get financing through their financing company AND that they COULD sue me for the balance according to the sales agreement I had signed. To make things more complicated, I also carry liability insurance with them that I told them I would cancel (thereby prompting their litigation threats). They said that they wouldn't refund my $ and that they would let me out of the sales agreement and that they wouldn't take any legal action for now. What do I do in this case, if anything? I don't care about the $ at this point- I just don't want to be sued!
