What is the best way to remove a sitting board president from a nonprofit board of directors? The second part of the question affects the first question so here it is. Two out of seven board members resigned directly due to issues they have with how the president is governing the nonprofit. The resignations were tendered in emails between all board members. Are those reignations legal and binding? They were only accepted by the president. No other board members want to accept the resignations. Do the resignations have to be written out on paper and accepted by a majority of the remaining board? Also, the remaining board members want to remove the president, put the VP in the position and invite the two who resigned back to the board because they actually do more for the organization than the president. Do they hold a no confidence vote amongst the four of them and ask for her resignation? If the resignations are null and void due to the way they were given, can those two board members return to normal board activity right away and participate in the process of her removal? Help!!!
