I currently own 49% of an S Corp. My partner protects the books like a madman and though I don't believe he is stealing or anything I do have concerns about getting my money out. We have a pretty good chunck of retained earnings and may have a buyer in the coming months.
My question is what rights do I have only owning 49%. If I want to sell and he doesn't can I force the issue? If I wanted my portion of the retained earning do I have any avenue for relief?
Thanks for the assistance.

Is any of this addressed in the by-laws of the corporation?
