Hi all
I have a ptd ltd company which has 3 directors and 3 shares distributed equally.
One director has breached his fiduciary duties and needs to be removed as a director.
The constitution states the way to remove a director is through a meeting of members and going through the process of issuing notices ect.
However I would like to know if we can pass a resolution under "circulating resolutions" to the effect of a removal of a director. The constitution does not outline which resolutions you can pass, however states you can pass a resolution through majority vote.
