partner resigned as director leaving me the only director .

She wants to force a liquidation by calling up her loan account .

Who pays for the liquidation? Me ?
 
It is baffling that this site is set up so that folks can select non-U.S. jurisdictions from the pull down menu when this site is only for issues of U.S. law (it's even more baffling to list "Africa," which is a continent comprised of over 50 separate, sovereign nations, each of which has its own unique laws).

Anyway...you'll need to consult with an attorney in your country about your issue.

It's from an older system and will need to be changed. Originally there was intended to be an international law section which we do address at times, e.g. EU and right to be forgotten, EU General Data Protection Regulation (GDPR), etc. It will eventually be addressed shortly.

As to the answer to the question, even if we tried to provide general insights of if this was US law, it's impossible without many more details. You'd need to compile a list of questions and ask a local attorney.
