Business Contracts Jurisdiction and governing law

[NDAquestion]

IN an NDA contract there is language like this:
1. This NDA shall be governed by laws of State of Delaware and shall have exclusive jurisdiction in Delaware.

Or,
2. This NDA shall be governed by laws of State of Delaware.

IN alternative2, no "jurisdiction" is specified. Does that mean that a party can bring in a law suit in any state but the interpretation will be based on Delaware law?
