recently purchased a company. it was a stock purchase. since taking over we have found approximately $180,000 in undisclosed liabilities. we paid around $200,000. the most recent was unpaid sales tax of $60,000 from 2 years up to the time we made the purchase. we have now been told that we assumed all liabilities. is there any recourse for the hiding or undisclosed debt that has been uncovered. it seems like fraud to us since we have proof that the president of the company had prior knowledge of these liabilities as did the conservator put in place by the court and the inability of our attorneys to do due diligence and search for creditors and unpaid taxes. could use some advice. on due diligence and the transfer of undisclosed liabilities that the predecessor had full knowledge of.
