Hello, Me and my business partner are 50/50 owners of an LLC in VA, small martial arts studio, going out of business, default. We have given 30 days notice to end the lease, to the landlord, an LP, and talked with him, and will move out of his commercial space with no problem getting out of our month to month lease. I anticipate he will refund our security deposit, also with no hassels. Go back about one year, the HVAC system needed to be replaced, so the landlord had us sign a lease amendment/promissory note agreeing to split the total cost of replacement of the heating/air conditioning system, our share to be paid monthly with interest. Here is my question; If we close the LLC will we the tenent, still owe the remaining installments to the landlord for the replaced HVAC system on the note? Thank you.
