Business Sale Tax Liability

I'm competing to buy a viable business that sits on a valuable piece of land, with a developer that is just interested in the land. The owner inherited the business a long time ago and owns the business and land free and clear with his wife. Is there a compelling case that he could clear more selling it as a business to me, than as land to the developer, due to his large tax liability (price is several million)?
 
As one of the potential buyers, you must make the compelling case to get the seller to accept your offer.
Yours isn't a legal matter.
Yours is simply an age old buyer's problem of prevailing over other buyers.
