Hi, I did business with a Corp. They had a person not employeed with the company signing contracts on their behalf. Now the Business states they are not liable because the " Other person " signed the contract and he is in no way part of the company. ( Evasion of liablity)

What is broken here?

I assumed that the theft act is being violated here.

EVASION OF LIABLITY THOUGH DECEPTION. But not sure. Any one?
 
If the person was an authorized agent given the capacity to enter into contracts and the company routinely honored the contracts he entered into, the UCC provides they are obligated to perform all contract he entered into, while in said authorized position.
