I belong to a non-profit organization incorporated in the state of Texas. We held our annual business meeting today and elected new officers & board members. The slate of candidates was presented by a Nominating Committee (no candidates were opposed), but today was the first time delagates had an opportunity to review the slate of candidates. The problem is that our by-laws state that the delegates should be given personally or be mailed the slate of nominees not less than 10 days before the meeting.

My question is, what are the legal ramifications?

As a side note, someone brought up this issue and moved to table the election for at least 10 days, but the motion lost in a vote (9 for tabling, 76 against) by the same body that later approved the slate presented by the nominating committee.
