Legal Risks for Investing in a Corporation

I currently have an IL Corporation. I need some capital, so (2) private investors said they will invest $20,000 each for a NEW CORPORATION. They said forming a new corporation (just the two of them as shareholders, I would be an employee--with a future purchase agreement for me after they have been paid their investment, interest and a fee) would protect them from any current liabilities associated with my current company. Each investor has their own company (in a separate industry than the proposed new company). Now one of the investors is saying that their could be legal risks form him in his current company if he were to invest. Are there any? If so, what are they. Or, is this a way to say that he has changed his mind?

A: Ask the investor. If he doesn't want to tell you, then that's his business.
